Terms & Disclaimer

These Terms govern the provision of verification reports by Sinolinks (a Hong Kong-registered company; "Sinolinks", "we", "our") to the person or entity that orders a report (the "Recipient", "you"). By ordering a report you confirm you have read, understood, and accepted these Terms.

This English version is the binding version. Translations, if any, are provided for convenience only. The contracting corporate entity is disclosed on the order receipt and report delivery.

Nature of the service

A Sinolinks verification report is a research deliverable summarising information obtained from third-party public sources, supplemented by our expert commentary. The fee is consideration for our research, drafting, and review effort, and is not a warranty of any finding, outcome, or fact. The report is not an audit, investigation, legal opinion, or certification of any kind.

No warranty

The report is provided "as is" and "as available". To the maximum extent permitted by law, Sinolinks makes no representation or warranty, express or implied, as to the accuracy, completeness, currency, reliability, or fitness for any purpose of the report or any information in it. All implied warranties, including merchantability and fitness for a particular purpose, are expressly disclaimed.

No advice

The report does not constitute legal, tax, investment, financial, accounting, compliance, or other professional advice. You are responsible for obtaining independent professional advice before acting on any information in the report.

No liability

To the maximum extent permitted by law, Sinolinks, its directors, officers, employees, agents, and affiliates accept no liability whatsoever for any loss, damage, cost, or expense — whether direct, indirect, consequential, incidental, special, exemplary, or punitive, and whether in contract, tort (including negligence), statute, equity, or otherwise — arising from or in connection with the report, its contents, or any reliance on it.

If, notwithstanding this exclusion, any liability of Sinolinks to you is found to exist, that liability is in all cases capped at the fee actually paid by you for the report in question.

Intended recipient and non-reliance

The report is prepared solely for the named Recipient's internal use. Sinolinks assumes no duty of care to, and accepts no liability to, any third party — including any assignee, successor, affiliate, advisor, or other person who may come to see the report. The report may not be relied upon by anyone other than the Recipient.

Confidentiality and no redistribution

The report is proprietary to Sinolinks and confidential to the Recipient. You may not copy, publish, redistribute, forward, quote, excerpt, paraphrase, or make the report or its findings available to any third party — including in any legal, regulatory, commercial, or public context — without Sinolinks' prior written consent. Internal use by the Recipient's directors, employees, and professional advisors bound by equivalent confidentiality is permitted.

Sources and methodology

The report draws on information from publicly accessible registries, databases, and other third-party sources beyond Sinolinks' control. We do not audit, verify, or certify the underlying source data, and underlying sources may be incomplete, outdated, or subject to change without notice. Specific sources and the methodology behind each report are proprietary and will not be disclosed.

As-of date; no duty to update

The report reflects information available to Sinolinks as of the report date stated on the cover. Sinolinks has no obligation to update, revise, or supplement the report after delivery, whether in response to new information, events, errors, or changes in circumstances.

Jurisdictional notes

Sinolinks is incorporated and operates from the Hong Kong Special Administrative Region. The report is prepared outside Mainland China. Recipients remain solely responsible for their own compliance with applicable data protection, export-control, trade-control, and other laws and regulations in their jurisdiction and in the jurisdictions in which they operate or receive the report.

Refunds and cancellation

If Sinolinks is unable to positively identify the target Chinese entity from the information provided, we will offer a full refund prior to commencing research. Once research has commenced, the fee is non-refundable except at Sinolinks' sole discretion.

Changes to these Terms

Sinolinks may update these Terms at any time. The version in force at the time of your order is the version that applies to that report. Current Terms are always available at sinolinksverify.com/terms.

Governing law

These Terms, and any dispute arising from them or from the report, are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws principles.

Arbitration

Any dispute, controversy, or claim arising out of or relating to the report or these Terms shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration is Hong Kong, the arbitration is conducted by a sole arbitrator in English, and the arbitral award is final and binding.

Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from any court of competent jurisdiction.

Business-to-business only

The verification service is provided on a business-to-business basis. By ordering a report you confirm you are acting in the course of business and not as a consumer.

Severability

If any provision of these Terms is held unenforceable, the remaining provisions continue in force. Any unenforceable provision will be reduced to the minimum extent necessary to be enforceable.

Entire agreement

These Terms, together with your order and payment confirmation, constitute the entire agreement between Sinolinks and the Recipient regarding the report, and supersede any prior communications.
